Hulett & Company is excited to announce the formation of its Financial Institutions Advisory Group, with a focus on Community Banks M&A Advisory Services. This specialized team of seasoned commercial bankers and bank executives will use their collective 130+ years of industry experience to focus on merger and acquisition advisory work, specifically for community banks.

Together, the members of the Financial Institutions Advisory Group have a wealth of experience gained from involvement in a broad range of transactions. They have not only arranged mergers and financing transactions but have also acted as principals in purchasing community banks and served in senior management positions of both established institutions and start-ups. Their experience includes:

Jeffrey W. Kolb – Consultant

During his career, Jeffrey Kolb has held senior management and board positions with banks, other financial institutions and the FDIC.  He has assisted banks and other companies with numerous financing, capital-raising and M&A transactions.   Mr. Kolb spent over 25 years with NBD Bank and Banc One/First Chicago Capital Markets, where he held management, commercial banking, international banking, and securities origination positions.  Mr. Kolb managed NBD’s European lending, trading and treasury business, including branches in London and Frankfurt, for over 7 years.  After leaving Banc One, Mr. Kolb was President of the Chicago Region of First Bank, where he oversaw the acquisition of 5 banks. Subsequently, he was Managing Director for community banks at Donnelly Penman & Partners.  Most recently, Mr. Kolb served as Lead Manager-Assets at the FDIC’s Midwest Temporary Satellite Office. His department participated in 50 bank closings and managed receiverships and functional areas dealing with post-closing asset, subsidiary and contract responsibilities in 24 states.  Mr. Kolb has served on the boards of several non-profits including IFF, a leading community development financial institution (CDFI), where he chaired the audit committee. He holds an MBA in Finance and International Business from the Kellogg School of Management and a BSBA in Economics from Northwestern University.

Kathy Szedlar – Consultant

Kathy Szedlar has 19 years of banking experience. She served as an organizing officer and Chief Operating Officer for Partners Bank, a start-up community bank, where she helped manage the company from inception to $150 million in assets. The bank sold in 2008 for 1.74 times book. Prior to that, Ms. Szedlar was a Vice President for First Banks, Inc., a multi-billion dollar bank holding company, and previously served as a Commercial Lender for Central Bank. In addition to her work at R.L. Hulett & Company, Ms. Szedlar manages her own company, The Bankers Advantage, which provides consulting services to financial institutions across the country.  Ms. Szedlar earned a B.S. in finance from Illinois State University and an MBA from Southern Illinois University. In 2005, she was a recipient of the St. Louis Business Journal’s “Forty Under 40” Award honoring outstanding professionals in the St. Louis area.

R. Trevor Hulett – Managing Director

For over seven years, Mr. Hulett has led M&A transactions in a variety of industries including manufacturing/industrial, distribution, business services, software/technology and healthcare/pharma. Prior to joining the firm, he held senior level accounting and financial management positions in both public accounting and large corporate environments. Mr. Hulett began his career as a CPA with MPP&W, a St. Louis-based public accounting firm specializing in middle market companies. He then held various management positions in internal audit and corporate accounting with a Fortune 1000 industrial manufacturing company and also spent nine years with Enterprise Rent-A-Car as a department manager in the Corporate Accounting group. Mr. Hulett earned a bachelor’s degree in accounting from the University of Missouri, Columbia and is a Registered Investment Banking Representative with Series 79 and 63 licenses.

Dan Narzinski – Director

For over 30 years, Dan Narzinski has held a variety of management positions in the banking industry.  Most recently, Mr. Narzinski worked as a banking consultant developing policy and process recommendations to overhaul and improve bank commercial lending performance.  His clients include many well-known banks in the Midwest.  Mr. Narzinski started his career as a tactical fighter pilot in the United States Air Force.  After his service in the Air Force, he was a relationship manager for high net worth individuals at Citicorp Private Banking.  He held several senior executive positions at Mark Twain Bank in St. Louis, Missouri.  He was then involved in a succession of three bank mergers ending with    U.S. Bancorp, remaining in place each time to coordinate the integration of credit activities into the larger entity.  During that time, he was named Program Director of Mercantile Bank of St. Louis with the responsibility to develop detailed plans to re-structure the Bank’s major divisions.  Subsequently, Mr. Narzinski, as Chief Credit Officer of Pioneer Bank, managed 300% credit growth of this bank until its sale to PNC Bank, again coordinating the credit integration.  In addition to his successful banking career, he has served as a corporate finance instructor at the University of Missouri-St. Louis and director of Heintz Steel & Manufacturing Company.  Mr. Narzinski is a graduate of the United States Air Force Academy and holds an MBA from UCLA.

Ken Kotiza – Director

Over the past 35 years, Ken Kotiza has worked as a commercial banking and financial executive for several community and regional banks in the St. Louis area.  Mr. Kotiza started his career as an assistant vice president in the international division at the National Bank of Detroit.  After his time in Detroit, he had an illustrious tenure as president at Mark Twain Bank in St. Louis, Missouri where he was responsible for growth and profitability of several commercial banking locations ranging in size from $50 million to $125 million.  Following his time at Mark Twain Bank, Mr. Kotiza worked as president of UMB Bank, St. Louis.  As president, he oversaw growth and profitability of the $1.6 billion St. Louis division, which consisted of a $300 million commercial loan portfolio, 450 personnel, and 28 branches.  Mr. Kotiza graduated from North Central College and holds an MBA from Washington University in St. Louis.

Michael C. Rami – Director

Mr. Rami has spent over 18 years in the banking industry serving middle market companies. He began his career with American National Bank in Chicago and then joined Mark Twain Bank in St. Louis where he developed and managed multimillion-dollar loan portfolios for various market sectors. Prior to joining R.L. Hulett & Company, Mr. Rami served as Senior Vice President of Commercial Lending for a denovo bank specializing in middle market commercial banking.  Mr. Rami has vast experience in managing and optimizing multimillion-dollar loan portfolios and a proven track record of success in growing a business through sales/marketing, team leadership, client management, and strategic planning/execution. He possesses an in-depth understanding of financial service processes, practices, and models, having worked in numerous areas within large banks, including cash management, financial control, bond department and asset based lending.  Mr. Rami holds an MBA with an emphasis in Finance from St. Louis University. In 2009, Mr. Rami co-founded Six Row Brewing Company, a craft brewery located in St. Louis, Missouri and Chairs the company Board.  He is also very active in the community, working with numerous not for profit organizations in various capacities.
